Terms of Service

Welcome to Clockbird ("we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of the Clockbird time tracking application, website, and related services (collectively, the "Service"). By accessing or using our Service, you agree to be bound by these Terms.

Clockbird is operated from the Republic of Albania. These Terms are governed by Albanian law and are also aligned with EU standards to ensure fair treatment for all users.

1. Acceptance of Terms

By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

Clockbird is a time tracking and project management platform that allows users to:

  • Track time spent on various projects and tasks
  • Capture screenshots during active tracking sessions
  • Manage projects and team members
  • Generate reports and analytics on time usage
  • Process payments and manage billing for tracked time

3. Account Registration and Security

3.1 Account Creation

To use certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

3.3 One-Time Passwords (OTP)

We use email-based one-time passwords for authentication. You are responsible for maintaining access to your registered email address and for the security of OTP codes sent to you.

4. User Conduct and Responsibilities

You agree not to:

  • Use the Service for any illegal purpose or in violation of any applicable laws, including the laws of the Republic of Albania
  • Attempt to gain unauthorized access to the Service or its related systems
  • Interfere with or disrupt the integrity or performance of the Service
  • Upload or transmit viruses, malware, or other malicious code
  • Impersonate any person or entity or misrepresent your affiliation
  • Use the Service to track time fraudulently or misrepresent work performed
  • Share your account credentials with third parties
  • Use automated systems or software to extract data from the Service without permission

5. Screenshot Capture and Monitoring

5.1 Consent to Screenshot Capture

The Clockbird desktop application may capture screenshots of your screen during active time tracking sessions. By using the desktop application with screenshot features enabled, you consent to this capture in accordance with Albanian Law No. 9887 "On the Protection of Personal Data" and our Privacy Policy.

5.2 Screenshot Storage and Access

Screenshots are stored securely and are accessible to you and authorized project owners/administrators. Screenshots are used solely for the purpose of verifying work performed during tracked time periods.

5.3 Disabling Screenshots

Project owners may configure whether screenshots are required for their projects. You may choose not to work on projects that require screenshot capture.

6. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand how we collect, use, and protect your information in accordance with Albanian data protection law.

7. Intellectual Property

7.1 Our Intellectual Property

The Service, including its original content, features, and functionality, is owned by Clockbird and is protected by Albanian Law No. 35/2016 "On Copyright and Related Rights," as well as applicable international intellectual property laws and treaties to which Albania is a party.

7.2 Your Content

You retain ownership of any content you submit, post, or display through the Service. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, and display such content solely for the purpose of operating and providing the Service.

8. Payment Terms

8.1 Billing and Payments

Certain features of the Service may require payment. You agree to pay all fees associated with your use of paid features. All payments are non-refundable unless otherwise specified or required by applicable law.

8.2 Time Tracking Payments

If you use Clockbird to track billable time, payment arrangements between you and your clients or employers are your responsibility. Clockbird facilitates time tracking and reporting but is not responsible for payment disputes between users.

9. Termination

9.1 Termination by You

You may terminate your account at any time by contacting us. Upon termination, your right to use the Service will immediately cease.

9.2 Termination by Us

We may terminate or suspend your account and access to the Service immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason at our sole discretion.

9.3 Effect of Termination

Upon termination, your data may be deleted according to our data retention policies outlined in our Privacy Policy. Your rights under Albanian data protection law regarding your personal data remain unaffected.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, or that any defects will be corrected. Nothing in this section affects any mandatory consumer protection rights you may have under Albanian law.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY ALBANIAN LAW, IN NO EVENT SHALL CLOCKBIRD, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of or inability to access or use the Service
  • Any conduct or content of any third party on the Service
  • Any content obtained from the Service
  • Unauthorized access, use, or alteration of your transmissions or content

This limitation does not exclude or limit liability where it cannot be excluded or limited under Albanian law, including liability for intentional misconduct or gross negligence.

12. Indemnification

You agree to defend, indemnify, and hold harmless Clockbird and its officers, directors, employees, and agents from any claims, damages, obligations, losses, liabilities, costs, or debt arising from your use of the Service or violation of these Terms, to the extent permitted by applicable law.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on this page and updating the "Last Updated" date. For material changes, we will also send you an email notification. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Albania. Our practices are also aligned with EU standards, including the General Data Protection Regulation (GDPR), to ensure a high standard of service for all users.

15. Dispute Resolution

15.1 Amicable Resolution

Any disputes arising out of or relating to these Terms or the Service shall first be resolved through good faith negotiations between the parties.

15.2 Jurisdiction

If negotiations fail, any dispute shall be submitted to the competent courts of the Republic of Albania, specifically the courts of Tirana, which shall have exclusive jurisdiction.

15.3 Consumer Rights

Nothing in this section shall prevent you from exercising any mandatory consumer protection rights available to you under the laws of your country of residence.

16. Severability

If any provision of these Terms is held to be unenforceable or invalid by a court of competent jurisdiction, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Clockbird regarding your use of the Service and supersede all prior agreements and understandings.
